Terms of Service

These Terms are a binding agreement between you and Harmonic governing your access to and use of our platform, website, and services. Please read them carefully before using the Services.

1.Acceptance of Terms

Welcome to Harmonic, a property management software platform. These Terms of Service (“Terms”) are a binding agreement between you (“you” or “User”) and Harmonic (“Harmonic,” “Company,” “we,” or “us”). By accessing or using the Harmonic website or any of our services, applications, or software (collectively, the “Services”), you accept and agree to be bound by these Terms. If you do not agree, you must not use the Services.

Please also review our Privacy Policy, which explains how we collect and handle your data and is incorporated by reference into these Terms.

2.Eligibility and Registration

Eligibility: You may use the Services only if you are legally able to form a binding contract, generally an adult (18 years or older, or the age of majority in your jurisdiction). The Services are not intended for children under 13. If you are under 18, you may use the Services only with the involvement and consent of a parent or legal guardian.

Business Use: If you are using Harmonic on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Account Registration: To access many features, you will need to create an account. You agree to provide accurate, current, and complete information and to keep it up to date. We reserve the right to refuse registration or cancel accounts that violate these Terms or are suspected of being inauthentic or unauthorized.

3.Account Security and Responsibilities

When you register, you will choose or be provided with a username and password. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Do not share your password or give others access to your account. Notify us immediately at [email protected] if you suspect any unauthorized use or security breach. We are not liable for any loss arising from your failure to safeguard your account.

You are responsible for the accuracy of the information you provide and for all actions taken under your account, including those of any team members or sub-users you authorize. Any violation by your users may be deemed a violation by you.

4.Description of Services

Harmonic is an all-in-one, cloud-based property management system focused on small and medium-sized businesses. Our platform offers a suite of AI-powered tools to help property owners, managers, and their teams manage real estate operations, including but not limited to:

  • Maintenance Management, report, track, and resolve maintenance requests with AI-assisted scheduling and predictive insights.
  • Sales and Rentals, manage property listings, lead tracking, tenant applications, and lease agreements.
  • Tenant Communication, integrated email, chat, and notification channels, including automated reminders and announcements.
  • Finance, rent collection, expense tracking, invoicing, and integration with accounting systems such as QuickBooks.
  • Marketing, marketing and CRM tools (including integrations such as HubSpot) to fill vacancies and manage leads.

5.Subscription Plans, Billing, and Payment

Subscription Plans: Harmonic is offered as a subscription-based service across various plans. When you register or upgrade, you select a plan and agree to the associated fees and billing cycle (e.g., monthly or annual). Current plans and pricing are provided on our website or during sign-up.

Billing and Payment: By subscribing to a paid plan, you agree to pay all applicable subscription fees and other charges (such as taxes or transaction fees) at the prices in effect when incurred. You must provide a valid payment method and authorize us or our payment processor to charge it for recurring fees. We do not directly store your full credit card information.

Recurring Billing: Subscriptions automatically renew at the end of each billing cycle unless you cancel before the next renewal date. We will email you in advance of any changes to the subscription price or terms. If we cannot charge your payment method, we may retry and, if payment remains unsuccessful, suspend or downgrade your account.

Cancellation and Refunds: You can cancel at any time through your account settings or by contacting support. You will retain access to paid features until the end of your current billing period. Prepaid fees are generally non-refundable unless required by law or stated otherwise.

Taxes: All fees are exclusive of taxes (such as sales, use, VAT, or GST). You are responsible for any taxes or duties payable in connection with your subscription, other than taxes on our income.

6.Use Restrictions and Acceptable Use Policy

By using our Services, you agree to adhere to the following acceptable use guidelines. In particular, you agree that you will not:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Upload or distribute content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable, or send spam or unwanted communications.
  • Upload or share content you do not have the right to use, or that infringes the intellectual property, privacy, or other rights of any person or entity.
  • Probe, scan, or test the vulnerability of the Services, attempt unauthorized access, circumvent security measures, or introduce viruses, malware, or harmful code.
  • Interfere with or disrupt the integrity or performance of the Services, including imposing an unreasonable load on our infrastructure.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Resell, rent, lease, or provide the Services to third parties without our prior written consent, or reverse engineer or attempt to extract our source code except as permitted by law.
  • Use the platform in a manner that violates the privacy of others or misuses personal data obtained through the Services.

7.Data Privacy and Security

Harmonic is designed with data privacy in mind and is GDPR-compliant. Any personal data you provide will be handled in accordance with our Privacy Policy and applicable data protection laws.

Your Responsibilities for Personal Data: If you input personal data of third parties (such as tenant names or contact details), you represent that you have a legal basis to do so. You remain the controller of any personal data you collect using Harmonic, and we act as a data processor on your behalf. You are responsible for complying with all data protection laws that apply to that data.

Data Security: We employ industry-standard measures including encryption in transit and at rest, access controls, and regular security assessments. However, no system can be guaranteed 100% secure. If we become aware of a security breach affecting your personal data, we will notify you in accordance with applicable laws.

Data Backups: Your data is regularly backed up, but we encourage you to maintain your own backups of important data. We are not responsible for data loss resulting from your own actions or issues outside our control.

8.Intellectual Property

Harmonic’s Intellectual Property: All content and materials available on the Services, including software, algorithms, design elements, logos, trademarks, graphics, and text, are the intellectual property of Harmonic or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes in accordance with these Terms. This does not transfer any ownership of our intellectual property to you.

Your Content: You retain all rights to the content, data, and materials you upload (“User Content” or “Customer Data”). By uploading content, you grant Harmonic a license to use it solely to operate and improve the Services (for example, to store, display, and back up your content). We will not use your content for marketing or share it with third parties for their own purposes without your consent, except as allowed in these Terms, our Privacy Policy, or as required by law. You represent that you have the rights to the content you upload.

Feedback: If you provide feedback, ideas, or suggestions, you agree that we are free to use them without restriction or compensation to you.

9.Integrations and Third-Party Services

Harmonic may integrate with or link to third-party services (such as Google, HubSpot, QuickBooks, or payment processors) to enhance functionality. Your use of third-party services is subject to those third parties’ terms and privacy policies, and your interactions with them are solely between you and the third party.

Harmonic does not control these services and does not endorse or assume responsibility for them. Third-party services may change, suspend, or terminate their offerings at any time, and Harmonic will not be liable for any impact on your operations. If you enable an integration, you authorize us to share the data necessary to operate it.

Where our platform facilitates payments through integrated processors, Harmonic is not the merchant of record. Payment disputes, chargebacks, or related issues are between you and the other party under the processor’s terms. You are responsible for complying with any legal requirements related to payments you collect.

10.Service Availability and Support

Availability: We aim to keep Harmonic available 24/7, but we cannot guarantee uninterrupted service. The Services may be unavailable due to scheduled maintenance, updates, or unforeseen downtime. We will strive to schedule maintenance during low-usage hours and, where possible, notify you in advance. Harmonic will not be liable for temporary interruptions.

Support: Support is available via [email protected] and may include in-app chat or a help center. Support is generally available during standard business hours, and we try to respond within 1–2 business days, though we do not guarantee a specific response or resolution time.

Updates and Changes: Harmonic is constantly evolving, and we may update software, add or remove features, or improve functionality, including automatic security updates. The Services are not intended for emergency or life-critical use; you should maintain contingency plans for critical operations.

11.Termination and Suspension

By You: You may stop using the Services at any time by deleting your account or cancelling your subscription through your account settings or support. Cancellation follows the billing rules above, you generally will not receive a refund for the remaining paid period but retain access until it ends.

By Us: We may suspend or terminate your access, with or without notice, for breach of these Terms, non-payment after notice, where required by law, or if we discontinue the Services. For minor or remediable violations we will, where practicable, provide a warning and an opportunity to fix the issue.

Effect of Termination: Your right to use the Services ends immediately. Please export any important data before ending your account; upon request we may provide a short period (for example, 30 days) to retrieve your data unless terminated for serious misconduct. Any outstanding fees remain payable. Provisions that by their nature should survive termination (such as liability limitations, indemnification, and dispute resolution) will continue to apply.

12.Disclaimers and Limitation of Liability

General Disclaimers: The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Harmonic disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Any AI-powered tools or suggestions are for informational assistance only; you should not rely solely on AI outputs for important decisions.

Limitation of Liability: To the maximum extent permitted by law, Harmonic and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business, goodwill, or data, arising out of or related to your use of the Services.

Harmonic’s total cumulative liability for any claims arising from or related to the Services or these Terms will not exceed the amount you paid us for the Services in the twelve (12) months preceding the event giving rise to the liability. If you have not paid anything, our liability will be zero or the minimum amount permitted by law. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13.Indemnification

You agree to indemnify, defend, and hold harmless Harmonic and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: your use or misuse of the Services; your breach of these Terms or applicable law; any content or data you submit; or your interactions and transactions with third parties.

We reserve the right, at our discretion, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate and not settle without our written consent. This obligation survives termination of your account or the Services.

14.Governing Law and Dispute Resolution

Governing Law: These Terms and any dispute arising out of or related to them or the Services are governed by the laws of [Jurisdiction], without regard to conflict-of-law principles. Where mandatory consumer or data protection laws in your country apply, these Terms are not intended to override those protections.

Jurisdiction and Venue: Any judicial proceedings (other than small claims actions or those subject to arbitration, if applicable) will be brought in the courts of [Specify Location], and both parties consent to venue and personal jurisdiction there.

Dispute Resolution: If you have any concern or dispute, please contact us first and attempt to resolve it informally. EU users may retain rights to bring disputes in their home country and under local law. 15.Changes to Terms

We may update or modify these Terms from time to time. When we make changes, we will post the updated Terms on our website and update the “Effective Date.” For significant changes, we may also provide a prominent notice or email.

Updated Terms will become effective 30 days after being posted (or on a later specified date). Continued use of the Services after the new Terms take effect constitutes acceptance. If you do not agree with the revised Terms, you should stop using the Services and may cancel your account.
